Terms of Use

These Terms govern your use (and, if your use is for a business purpose, the use by the business that you represent) of Credible, an internet site owned and operated by Beeline.com (together with all related sites and mobile applications, and content and features offered in connection therewith, the “Site”).  you agree to all of the terms and conditions contained herein, as may be modified from time to time following notice posted on the Site.  If you are accessing or using the Site for a business purpose, you agree that you are a representative of such business and are authorized to bind the business to these Terms.  If you do not have such authority, or if you do not agree with these Terms, you must not not use the Site.

Use of the Site.

Eligibility. The Site may be used and accessed only by users over the age of 18 who can form legally binding contracts under applicable law, and, if acting on behalf of a business, if you are authorized to agree to these Terms on behalf of that business.  The Site may only be used and accessed as set forth in these Terms.

Account Creation and Information Collected. You will be required to create an account and provide information, including personally identifiable information.  By agreeing to these Terms, you also agree to the terms of the Beeline Privacy Policy, which describes the use of your information and which may be modified from time to time.  You are responsible for maintaining the security of your password.  Other than personal information as defined in the Beeline Privacy Policy, all data derived or collected by Beeline.com from any user of the Site (including but not limited to statistical information, aggregated information, IP addresses, or other relevant data) shall belong to Beeline.com, and you agree that Beeline.com has the perpetual right to use such data as it determines in its sole discretion (even if you terminate Your account or cease use of the Site).  Beeline.com may create a suggested account or account content for users using publicly available information.

User-Submitted Content. Any content you submit when using the Site shall belong to Beeline.com.  You grant to Beeline.com a royalty free, perpetual, worldwide, nonexclusive, transferable, and sublicensable license to use, copy, reproduce, modify, distribute, display, and create derivative works of any content you submit to the Site.  You agree that you have the requisite authority to submit any such content.  Any content you submit shall be considered public, non-confidential, and intended for distribution to third parties.  All of your submitted content, including reviews and ratings, must be: based on your experience; true and accurate; relevant for the purpose of the Site; and not given for the purpose of harassing, defaming, offending, or threatening another person or for any other improper purpose.   You are solely responsible for the content that you submit and you warrant and represent that the content you submit is accurate and truthful and that you will promptly update any content that you provided that subsequently becomes inaccurate, misleading or false.  Beeline.com makes no endorsement or representation that content provided is accurate and Beeline.com is not responsible for the accuracy, quality, appropriateness, or any other aspect of any user-submitted content or derivative works containing such content, including ratings.

Prohibited Actions. The following actions are prohibited: (i) engaging in any conduct that violates these Terms; (ii) attempting to use the Site when you are ineligible to do so; (iii) using or accessing the Site or any content in violation of law or for any improper purpose (including but not limited to harassment, threats, the transmission of spam or other unsolicited mass mailings, or posting content that is offensive, obscene, false, defamatory, irrelevant, or not appropriate given the nature and purpose of the Site); (iv) engaging in conduct inconsistent with Beeline.com’s ownership rights of the Site and all content, including copying, reproducing, modifying, publishing, transmitting, or distributing in any way content found on the Site without Beeline.com’s prior written permission; (v) providing or failing to correct false or inaccurate information; (vi) attempting to gain unauthorized access to the Site or any content or probing the vulnerability of the Site; or (vii) engaging in conduct that undermines Beeline.com’s rating system.

Third Party Links and Content Disclaimer. Links contained on the Site may cause you to leave the Site. Such linked web sites are not endorsed by or under the control of Beeline.com, and Beeline.com is not responsible for the content of any linked web site, information contained in a linked web site, or any changes or updates to such web site.  You agree to use materials and information in third-party web sites at your own risk.

Subsequent Transactions.  Beeline.com is not responsible for any relationships, transactions, or other interactions between you and any other person or entity, including other users of the Site or individuals or entities whose information is contained on the Site.  Beeline.com is not responsible for any reliance you place on content contained on the Site (including ratings and reviews), and you are solely responsible for any such interactions you engage in with such individuals or entities.

Rights in the Site.

Rights in the Site. The Site is a proprietary platform owned and operated by Beeline.com.  Beeline.com owns all right, title, and interest in the Site, and no rights with respect to the Site are granted to you. All logos, graphics, and other content on the Site may be protected by trademark, copyright, or other intellectual property laws.  You may not copy, reproduce, or otherwise use any content located on the Site without Beeline.com’s written permission.

No Warranty. Beeline.com and its affiliates make the Site available strictly on an “as is” basis and without any warranties or conditions of any kind, whether express, implied, or statutory.  Beeline.com and its affiliates specifically disclaim any implied warranties, including without limitation any implied warranties of title, merchantability, fitness for a particular purpose, or non-infringement of intellectual property.  Beeline.com does not warrant that the Site will (i) meet users’ requirements; or (ii) operate uninterrupted, secure, or error-free.  Beeline.com does not warrant any user-submitted content and does not suggest, endorse, or warrant any services performed by contingent workforce suppliers who may be listed on the Site.  Your use of the Site and any content on the Site is at your own risk.

Termination. Beeline.com may terminate or modify the Site, features of the Site, and any content at any time.  Beeline.com may suspend or terminate your access to or ability to use the Site for any reason or no reason at all at any time in its sole discretion.  Termination shall not operate to limit Beeline.com’s remedies in any way.

General Terms.

Limitation of Liability. UNDER NO CIRCUMSTANCES WILL BEELINE.COM’S LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF (I) THE FEES PAID BY USER TO CREDIBLE OVER THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM, OR (II) $50.00.  IN NO EVENT WILL CREDIBLE BE LIABLE FOR PUNITIVE, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, TORT OR ANALOGOUS DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OR LOSS OF GOODWILL, REGARDLESS OF THE THEORY OF SUCH LIABILITY.  The foregoing limitations shall apply to the maximum extent permitted by law and shall survive indefinitely.

Indemnification. You agree to defend, indemnify, and hold harmless Beeline.com and its affiliates from and against all losses, liabilities, expenses, damages, claims, demands, and costs, including reasonable attorneys’ fees, arising in any part from your use of the Site or for any content provided by you.

Governing Law and Jurisdiction. This Agreement and its interpretation shall be governed by the internal laws of the State of Florida, without giving effect to the conflict of laws or choice of law provisions thereof. The parties consent to the exclusive jurisdiction of the state and federal courts located in Duval County, Florida.

WAIVER OF JURY TRIAL. The parties WAIVE THEIR RIGHTS TO A JURY TRIAL and to appellate review.

Attorneys’ Fees and Expenses. In any legal action,or proceeding between the parties related to or arising out of these Terms, the prevailing party shall be entitled to recover from the non-prevailing party its reasonable attorneys’ fees and costs, including those incurred in bankruptcy or appeal.

Confidentiality. Users may come into contact with confidential or proprietary information of Beeline.com, including but not limited to (i) technical information, including but not limited to information concerning proprietary ideas, trade secrets, existing or contemplated products or services, or software; and (ii) other information designated as confidential or which a reasonable person would know is confidential (“Confidential Information”).  You agree that you will not, directly or indirectly, disclose Beeline.com’s Confidential Information to any third party, or use Beeline.com’s Confidential Information for any purpose other than in furtherance of these Terms, except with Beeline.com’s prior written consent or if disclosure is required by law or process, but only after giving advance written notice to Beeline.com to reasonably allow for an opportunity to secure an appropriate protective order or other measure limiting disclosure.

Force Majeure. In the event that the availability of the Site is delayed, prevented or otherwise made impracticable by reason of any acts of God, natural catastrophes, national emergencies, labor difficulties, computer “hacking” attack or computer virus, any law, order, regulation or other action of any governing authority, or any other cause beyond Beeline.com’s reasonable control, Beeline.com shall be excused from any obligations it owes pursuant to these Terms for a reasonable amount of time following the cessation of the cause of the delay.

Severability. If any provision of these Terms is held or determined to be invalid, unenforceable, or void, the remainder of these Terms shall be severed and remain in full force and effect.

Binding Authority and Agency. By using or accessing the Site, you represent that you are legally competent to sign agreements, are authorized to bind the user (including any business entity on whose behalf you are accessing the Site), and that you agree to all of the Terms herein.
